A Project Financing MUST Contain the Following...they all go into the BOX for success!


  1. Permits - Must ascertain can obtain permits and must prior to financial closing.
  2. Offtake Agreements - Sales/Purchase Agreements from Creditworthy Sources taking either
    take or pay or similar provisions ensuring ready buyer/s for offtake.
  3. EPC Contract - for Overall Total Installed Cost (TIC) either LSTK or Design-Build with a
    solid EPC Contractor with substantial balance sheet and performance track
  4. Feedstock Agreements - Source of Long-Term reliable feedstock with floor/ceiling priced
    and for the life of the senior debt term.
  5. Technology Assurances - technology used must be proven and not subject to doubt
    regarding performance. Risk wraps or other financial products may be used if in doubt.
    Technology must be well proven and not subject to scale-ability problems.
  6. Utilities - Long-Term utility contracts suitable for the project and guaranteeing the
    availability of all utilities needed for the project from a reliable and proven source.
  7. Site - Ownership and total unfettered access and use of site for life of project.
  8. O&M Agreement - an Operations & Maintenance Agreement with proven established and
    experienced entity in this project's application must be provided for the length of the senior
    debt normally.
  9. Management Agreement - in many instances, where there is either concern for the
    management who is promoting the project to be directly involved in the role of active
    management or there is a need to supplement the owner/sponsor with more experienced
    management and/or industry expertise, a Management Agreement may be required for the
    term of the senior debt.
